Terms of Service

1. Who we are and what this covers

Instrument is made by Finalpoint, LLC, a Delaware limited liability company (“Finalpoint,” “we,” “us”). These terms are an agreement between you and Finalpoint. They cover your Instrument account, the paid plans and free trial, the hosted services we run (described below), and this website. By creating an account or using those services, you agree to them. If you do not agree, do not use them.

Our Privacy Policy explains what data we handle and why. It is part of these terms.

2. What Instrument is

Instrument is a desktop app that runs an AI agent on your own computer. Your chats, tasks, memory, and files live in a workspace folder on your machine. Two separate things make up Instrument:

  • The desktop app. Its source code is open and licensed under the Apache License 2.0. That license, not these terms, governs your rights to the code itself.
  • Our hosted services. Your account and sign-in, the AI models we provide (the “Auto” model, any other models we offer by name, and the background features that name chats and make small decisions for the app), web search, image generation, published page links, and billing. These run on our servers and on the third-party services listed in our Privacy Policy. These terms govern them.

3. Three ways to run the AI

You choose how the agent gets its AI model. You can mix them.

  1. An Instrument plan or the free trial. The app sends your requests to our servers, which pass them to the AI provider we choose. Usage limits apply (section 6).
  2. Your ChatGPT, Claude, or Grok plan. If you sign in with ChatGPT, Claude, or Grok, the app sends those requests directly from your computer to OpenAI, Anthropic, or xAI. They never pass through our servers. Using that plan in Instrument costs you nothing extra from us, and it does not require an Instrument plan: the end of your trial, or not having a plan, never stops you from using it. That company’s own terms and usage limits apply, and Instrument is not affiliated with or endorsed by OpenAI, Anthropic, or xAI.
  3. Your own API keys. If you add your own key for an AI provider, the app sends those requests directly from your computer to that provider, at your own cost and under that provider’s terms. We do not charge for it and it does not count toward your Instrument usage limits.

Web search, image generation, and the background features run on our hosted services and count toward your Instrument usage. Some of them need an Instrument plan or trial, and which ones you can use without a plan may change. Without a plan, the agent still runs on your ChatGPT, Claude, or Grok plan or your own keys.

4. Your account

  • You sign in with a Google account. Keep that account secure: anyone who can sign in as you can use your plan.
  • You must be at least 18 years old, or the age of majority where you live if that is higher.
  • An account is for one person. Do not share it, sell it, or create extra accounts to get more trials or more usage.
  • You are responsible for what happens under your account. Tell us at support@tryinstrument.com if you think someone else is using it.

5. Free trial

  • The trial needs no payment card. It starts when you choose to start it on our website, and ends after 7 days or once you have used the trial’s usage allowance, whichever comes first. Your account page and the app show how much of it you have used.
  • Each person gets one trial. We may decline to start one when we suspect a repeat or abuse, or pause new trials when we have reached the number we can fund that month.
  • When the trial ends, Instrument’s models stop until you choose a plan, and other hosted features may stay available within limits we set. Nothing is charged and no subscription starts on its own. Your workspace, your ChatGPT, Claude, or Grok plan, and your own API keys keep working.

6. Plans and usage limits

We offer monthly plans that include hosted AI usage. The plans, prices, and what each includes are shown on our website before you buy.

How usage is measured

  • Your plan includes an allowance of hosted usage. We measure it based on the AI models, search, and other hosted services you use. More capable models, longer tasks, larger files, images, and searches use more of it.
  • The allowance applies over three windows at once: a 5-hour window, a 7-day window, and your billing month. The 5-hour and 7-day windows start with your first use after the previous one ended. The monthly window follows your billing period.
  • The app shows each window as a percentage used and the time it resets.

When you reach a limit

  • Hosted AI features pause until the window that ran out resets, or until you upgrade. A task already in progress may be allowed to finish a little past the limit at no charge.
  • We never charge you automatically for going past a limit. There are no overage fees.
  • Unused allowance does not roll over to the next window or the next month, and has no cash value.

Which model answers

Hosted AI runs on the “Auto” model, which is our choice of underlying model and provider. We may change the model or provider behind Auto at any time, for example to improve quality, cost, speed, or availability, or when a provider is down. Different models behave differently, and results may change when we switch.

We may also offer other models by name, such as one from a particular AI company. These are offered on a best-effort basis. We may update the version behind a name, change which models we offer, or stop offering any of them besides Auto, at any time and for any plan, including plans already paid for. More capable or more expensive models may use up your usage allowance faster.

Changes to plans and testing

  • We improve the offer by testing it. Different groups of users may see different trial terms, allowances, or models at the same time.
  • Usage limits can change, including during tests, for example as the models behind Auto and their costs change.
  • We will email you at least 30 days before a price increase takes effect for you. The new price applies from your next billing period after the notice, and you can cancel before then.
  • We may raise allowances, or make changes that do not reduce what you paid for, at any time.

7. Billing, renewal, and cancellation

Who sells you the plan

We use Stripe for checkout and billing. Checkout and your receipt name the seller of your plan and show any sales tax, VAT, or GST. When Stripe is the seller, Stripe’s own terms for that purchase apply alongside these, and we still provide the plan and the service. Stripe handles your card details, and we never see or store your full card number.

Renewal

  • Plans are billed monthly, in advance. Your plan renews automatically each month at the then-current price, and your payment method is charged at the start of each billing period, until you cancel.

Changing plans

  • An upgrade takes effect right away. You pay a prorated amount for the rest of the current billing period, and usage you already used this month still counts.
  • A downgrade takes effect at the start of your next billing period.

Cancelling

  • You can cancel any time online, from the app or your account page, with no need to contact us. Cancelling stops the next renewal. You keep your plan until the end of the period you already paid for.
  • If a payment fails, we keep your plan running for a short grace period while the payment is retried. If it still fails, hosted AI features pause until the plan is paid.

Refunds

Except where the law requires otherwise, payments are not refundable, including for partly used months. If something went wrong with a charge, email us at support@tryinstrument.com and we will look at it.

If you live in the EU, the EEA, or the UK, you can withdraw from a new plan within 14 days of buying it, without giving a reason, by emailing us. We refund what you paid within 14 days. If you asked for your plan to start right away, we keep a share in proportion to the time it was active.

8. Your content

  • You own what you put into Instrument (your prompts, files, and other inputs) and, as between you and us, what the AI produces for you. We assign to you any rights we have in that output.
  • You give us permission to handle your content only as needed to run the hosted services for you: for example, to pass a request to an AI provider and return its answer, or to serve a page you published.
  • We do not use your content to train AI models.
  • You are responsible for having the rights to what you put in, and for how you use what comes out.

9. The agent acts on your computer

Instrument is an agent: depending on what you ask and what you allow, it can run commands, create, change, and delete files, control other apps on your computer, browse the web, and send messages on your behalf. Please understand what that means:

  • AI makes mistakes. Its answers can be wrong, incomplete, or out of date, and it can take actions you did not intend. Check its work before relying on it, especially for anything legal, medical, financial, or safety-related.
  • Files the agent deletes are deleted, not moved to the Trash. Keep backups of anything that matters.
  • You are responsible for what the agent does with your accounts, files, and apps at your direction.

10. Published pages

You can publish a page the agent made to a public link on instrument.page. Anyone with the link can view it, so do not publish anything you would not want seen. Links are not listed or indexed by search engines, and expire after 30 days. The browser you published from keeps a private key that lets you delete the page sooner; if you lose it, email us. We may remove any page that breaks these terms or that we receive a valid legal complaint about.

11. Acceptable use

Do not use Instrument or our hosted services to:

  • break the law or infringe anyone’s rights;
  • harass, defraud, or harm people, or create malware, spam, or content that exploits children;
  • get around usage limits, trial limits, or security measures, including by using several accounts;
  • resell or share access to our hosted AI, or use it as a general-purpose API for other apps or services;
  • overload, probe, or attack our systems, or access them other than through the app and our published interfaces; or
  • break the usage policies of the AI providers we use, which apply to requests sent through our services.

12. Suspension and ending

  • You can stop using Instrument at any time, and ask us to delete your account by emailing support@tryinstrument.com.
  • We may suspend or close your account, or limit hosted features, if you break these terms, if your use puts the service or other people at risk, or if the law requires it. Where it is reasonable to, we will tell you first and explain why.
  • If we close your account without cause, or stop offering a paid plan, we will refund the unused part of your current billing period.
  • The desktop app and your local workspace stay yours either way.

13. Third-party services

Instrument works with services we do not control: AI providers, OpenAI, Anthropic, and xAI for the plans you sign in with, websites the agent visits, apps it controls, and providers you bring your own key for. Their terms govern your use of them, and we are not responsible for their availability or content.

14. Disclaimers

The hosted services are provided “as is” and “as available.” To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the services will be uninterrupted, error-free, or secure, or that AI output will be accurate. Some places do not allow these disclaimers, so they may not all apply to you.

15. Limitation of liability

To the extent the law allows, Finalpoint will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, including data lost through actions the agent takes on your computer. Our total liability for any claim relating to these terms or the services is limited to the greater of what you paid us in the 12 months before the claim and US$100.

Nothing in these terms limits liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence. If you are a consumer in the EU, the EEA, or the UK, these limits do not affect your rights under the law where you live.

16. Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. If you are a consumer in the EU, the EEA, or the UK, you also keep the protection of the mandatory laws of the country where you live, and you can bring a claim in its courts.

Before filing any claim, please email us at support@tryinstrument.com so we can try to resolve it.

17. Changes to these terms

We may update these terms. When a change is material, we will tell you by email or in the app before it takes effect, and update the date at the top. Changes to prices and paid allowances follow the notice in section 6. If you keep using the hosted services after a change takes effect, the new terms apply; if you do not agree, cancel and stop using them.

18. Everything else

These terms and the Privacy Policy are the whole agreement between you and us about the hosted services. If part of them cannot be enforced, the rest still applies. If we do not enforce a part, we have not waived it. You may not transfer these terms without our consent; we may transfer them to a successor of our business.
